Indonesian Media and Technology (M&T)

The recent pandemic has accelerated the digitalization of the Indonesian economy. The media and technology segment responded to the public health crisis with creativity and innovation – and was rewarded accordingly. Over the years, SA Partners have acted on behalf of many highly recognizable M&T brands. These are the companies that have enabled the Indonesian tech revolution.

M&T legal work has an international character. Data crosses borders freely, but tech companies must engage a certain type of law firm. SA Partners firm has long-established ties to many of the countries that have financed and implemented tech innovation in Indonesia, including Singapore, Malaysia, Saudi Arabia, China, and the United States. While Indonesian investment policy officially privileges high-tech investments, some industry segments – such as telecommunications — have liberalized somewhat slowly. Known ambiguities and sensitivities such as data center policies continue to enhance legal risk. 

Telecommunication

In addition to handling standard corporate and commercial work , SA Partners has acted on behalf of Indonesia’s largest telecoms in complex restructuring (M&A) as well as high-value capital markets exercises. Our other relevant experience includes EPC agreements for tower construction; tower collocation agreements involving multiple domestic operators; turnkey network procurement contracts; infrastructure sharing agreements; managed service contracts; and a tender on behalf of a fibre optic consortium.

Media

We offer assistance in connection with establishing a business presence and operations in Indonesia, as well as in relation to Indonesia’s rapidly expanding body of media law. We draft and negotiate commercial agreements and advise on corporate structure, corporate actions, corporate finance and day-to-day matters including taxation.

Technology

We represent large and small companies, including startups. Further, we support sustainable investment and inclusive growth and are pleased to help local players prepare to cooperate and compete at a global level.  

We assist clients in obtaining required licenses and permits from the Ministry of Telecommunication and Information Technology, the Investment Coordinating Board (BKPM), and other pertinent governmental agencies. In the case of FinTech clients, this includes Bank Indonesia (BI) and Indonesia’s Financial Services Authority (OJK). We also advise on technical regulations such as the “local content” rules of the Ministry of Industry that seek to balance production inputs as between materials of local origin, and imported ones.

Other recent services include monetization deals and cooperation agreements with demand-side platform (DSP) companies on behalf of data owners; advising on cooperative activities between the tech arm of a national-level retail franchisor and the provider of a digital marketing platform; cooperation agreement between FinTech company and platform provider; and drafting several genres of cooperative agreements between an Indonesian platform provider and its counterparts scattered across nearly a dozen other foreign jurisdictions.
